About Our Client
The client is a global leader in logistics real estate. We own, manage and develop high-quality properties in the world's most vibrant centres of commerce, approximately 72 million square metres in 19 countries.
Legal support across multiple jurisdictions focused on the non-real estate side of the business, ranging from corporate administration, finance documents, contributions in kind of properties and/or of our companies through share deals to our real estate funds, corporate aspects of acquisitions, disposals and restructurings;
Corporate administration, e.g., incorporating new entities, drafting amendments to articles of association, drafting minutes and management reports for companies regarding share capital changes, share premium payments, repayment of shareholders' loans, share transfer agreements, adjustments of share purchase prices, liquidation of companies, drafting powers of attorney, minutes of meetings and corporate resolutions, overseeing replacements of board members;
Independent communication with external legal counsel, notaries, tax advisors etc. in various countries across Europe;
Acting as the first point of contact (both internally and externally) concerning legal corporate management and coordination of corporate entities;
Supporting internal legal counsel with a broad variety of day-to-day legal corporate issues and specific acquisition, disposition, development and property management projects;
Drafting and reviewing contracts regarding intercompany fees and services;
Supporting the business and legal processes in search of efficiency improvements, including implementing templates of corporate documents and working on automation of templates; and
Handling monthly updates of the European organizational structure chart and other customized legal charts.
The Successful Applicant
Degree in law, paralegal or legal executive qualification;
Experience in a reputable law firm or in-house international legal department;
Legal drafting skills;
Fluent written and spoken English (proficiency in other European languages is advantageous but not essential);
Self-directed and motivated, taking pride in your work;
Thorough attention to detail;
Efficient and diligent;
Flexible and able to respond positively to shifting demands;
An ability to multitask, prioritize and anticipate issues.
