ING Legal Financial Markets in Amsterdam is seeking an enthusiastic, ambitious and pragmatic lawyer to support Global Capital Markets, a business which is market leader in the Netherlands. You will become part of the Legal Capital Markets team, a young and close team of highly skilled lawyers which supports and advises ING on capital markets and investment banking transactions, working closely with DCM Originators.
Role and responsibilities
You will be responsible for advising the DCM origination bankers on legal and documentation matters related to investment grade bonds, liability management transactions, medium term notes and commercial paper.
Answer a broad variety of questions from bankers and outside counsel that arise during a transaction.
Review and negotiate underwriting agreements, subscription agreements, legal opinions, comfort letters and other transaction documents.
Drafting of contracts such as NDAs, Engagement Letters and Final Terms for private placements.
Assisting DCM origination team on the structuring of transactions (including assisting on pitches to clients), and researching, reviewing and discussing various questions.
Review and negotiating bonds transaction documents, from the pre-mandate pitch phase to execution and settlement.
Management of outside legal counsel.
As part of the execution of a transaction legal will identify and manage legal risk, address cross-border issues to ensure ING's legal and regulatory standards are maintained to a high level.
Legal is also involved to provide input on significant regulatory and market developments (MIFID, MAR and other regulations).
Representing ING at international industry groups such as ICMA and AFME.

The role of Legal Counsel Capital Markets at ING is to act as trusted advisor to the business. As team we are closely involved in supporting the Global Capital Markets team in execution of their transactions. We are a diverse and international group of 9 enthusiastic lawyers with a corporate, securities and/or financial law background, who have practiced before as attorney or in-house counsel.
How to succeed
We are looking for an applicant with proven experience of 2 - 6 years as attorney at a law firm or as in-house legal counsel at a major corporate or bank.
The ideal candidate has:
a Master's degree in Law from a reputable university (Dutch law not required, our teams house lawyers educated in a wide range of jurisdictions);
minimum proven experience of 2 - 6 years as lawyer or in-house counsel in the field of capital markets, corporate law and/or M&A;
transaction management skills;
proven ability to work in larger teams/organisations;
strong analytical skills and is pragmatic, flexible and a good communicator;
excellent verbal and written communication skills in English;
the ability to prioritize multiple projects and/or deadlines in a fast-paced work environment.
