    Intellectual Property Counsel - EMEA

    Job Description

    The Intellectual Property (IP) Counsel will provide legal counsel and guidance on global innovation initiatives, including research agreements, licensing, joint development and collaboration agreements with universities, research organizations, and commercial partners, evaluate IFF’s technical development opportunities and IP strategies, advise on intellectual property held by others and secure patent and trademark protection. The IP Counsel will also provide input on IP aspects of mergers and acquisitions.
    The IP Counsel works with the Chief IP Counsel to support the global business and R&D teams in the development of appropriate IP protection for all innovation projects to accomplish business and strategic initiatives, and ensure compliance with applicable laws and regulations.

    Key Responsibilities:

    • Provide IP related and other general business support to the R&D and commercial teams as they work with third parties
    • Prepare and negotiate agreements and other documents to support business transactions and the development and/or utilization of intellectual assets; specifically, responsible for negotiating contracts such as confidentiality, material transfer, license, research, service, collaboration and strategic partnership agreements
    • Provide IP related support for mergers and acquisitions
    • Provide training and processes designed to enhance the management of IFF’s innovation initiatives as well as drive and promote an organizational wide knowledge of intellectual property
    • Insure IP protection and commercialization choices are made consistently across the company and are aligned with the R&D and business strategies
    • Work on a regular basis with IFF’s business leaders and R&D to understand company objectives and align the strategic use of IP to further those goals
    • Assist in setting the Legal Department’s strategy, identifying breakthrough initiatives and driving change to improve the way the Legal Department works and the value we add to the business
    • Conduct intellectual property assessments of business risks that include freedom to operate opinions and patent analyses for infringement and validity issues
    • Manage and develop internal legal professionals, including attorneys and paralegals
    • Liaise with IFF's regional attorneys to insure coordinated support for R&D teams worldwide
    • Support IFF’s Chief Intellectual Property Counsel on key priority matters; including assistance on patent licensing, patent enforcement actions against others, and defense of IFF businesses from alleged patent / trade secret infringements

    Job Requirements

    Required Experience:

    • 7-10 years of experience working at a law firm, preferably servicing public company clients and some in-house counsel experience preferred
    • Experience negotiating and drafting IP agreements and contracts, managing varied partnership, research and joint development transactions, as well as supporting IP related issues in M&A transactions
    • Undergraduate degree in chemistry and/or life sciences preferred

    Required Skills:

    • Excellent verbal, written and interpersonal skills and an ability to convey complex legal principles clearly and concisely
    • Project management skills, including working with teams in various foreign jurisdictions on intellectual property matters
    • Familiarity with marketing and false advertising risks a plus
    • Ability to clearly communicate with R&D personnel, senior R&D managers, other in-house counsel and outside counsels is essential
    • Inherent leadership skills and ability to inspire confidence in client base are required for effective counseling in this position
    • Team player who will exceed assigned responsibilities and assist others to reach objectives
    • Proven ability to manage others

    • Excellent interpersonal/people skills and the ability to interact effectively at all levels of the organization and with outside counsel
    • Experience handling confidential information with discretion
