Debt Capital Markets
Within the Financial Markets Group, Clifford Chance Amsterdam’s Debt Capital Markets team focuses on all types of Debt Capital Markets transactions, including corporate hybrid bond issues, regulatory capital, MTN program updates, maintenance and drawdowns, high yield debt, ECP, other short paper programs, with a special focus on innovative products such as resolution capital and green/sustainability linked bonds. The team, consistently ranked as Tier 1 in The Netherlands, Europe and globally, is sought by a strong portfolio of frequent issuer Dutch financial institutions and corporates, by local and international underwriters active in the Netherlands and by professional bodies, governments, international organisations as well as financial market regulators. It provides expertise, stand-alone or in cross-border teams in multi-jurisdictional projects, for ground-breaking and the most complex of deals. The team currently consists of 1 partner, 2 counsel, 3 associates and some trainees.

The role will include drafting/negotiating transaction documentation and opinions, being the point of contact for regulators, providing transaction structuring and regulatory advice, among other things in corporate hybrid bond issues, bank regulatory capital bond issues, MTN program updates, maintenance and drawdowns, high yield debt, ECP and other short paper programs.

The candidate, skills and experience
Approximately 3-6 years of experience as a lawyer in debt capital markets, eager to learn from our experienced Debt Capital Markets lawyers and invest in his/her professional development.
Confident in debt capital markets work, specifically in understanding and support in drafting key bond documentation, including terms and conditions, subscription agreements, prospectuses, opinions and other documentation, and in offering clear and tailored commercial advice. Good knowledge of regulations and the regulatory framework applicable to Debt Capital Markets work is key.
A sharp and driven lawyer, with a vision for his/her specialism and an innovative mindset. Strong analytical skills and good with numbers. Thorough and focused on content, while at the same time practical and commercially oriented in working methods and advice.
Well-regarded within his/her current firm or company, well-respected by clients. A distinct appetite for business development, client relationship management and thought leadership.
Intellectual rigour, a strong academic background and a Dutch law qualification.
