The unit Corporate & Group Affairs is part of the larger Group Legal team and consist of a highly experienced Senior Corporate Legal Counsel (Lead of the unit), a Corporate Legal Counsel and two Corporate legal assistants. The Corporate Legal Counsel will be an addition to that team. Group Legal is part of the Global Legal Function headed by the Group General Counsel.
The Corporate & Group Affairs unit is focussed on providing advice and support to global legal, regulatory and finance projects, looks after the financing structure of the company, manages the legal entities, the intercompany agreements and the corporate data of the company and looks after the governance of the company. It is also involved in mergers & acquisitions and provides support with complex HR matters. It operates in close cooperation with the Group CFO of the company.
Advising on the financing structure of TMF Group.
Cooperating and/or taking on organization-wide legal projects (such as legal entity management, financing, restructuring & M&A).
Advising on several corporate & governance subjects and complex HR matters
Preparing memoranda for internal decision making are part of the regular tasks.
Optimizing current corporate activities and processes.
In addition, the Corporate Legal Counsel is asked to support the Group General Counsel, the other unit team members, Group Finance, Group Tax and Group Treasury on a variety of matters within the scope of the unit.
You have a university degree in Dutch (corporate) law.
You have at least 5-8 years of work experience as an attorney, candidate civil-law notary and/or corporate lawyer at a large company.
You have a thorough knowledge of or demonstrable affinity with M&A, Dutch company law and corporate governance. You also have some experience with labour disputes.
The position requires a high degree of professionalism, rigor, pro-activity, self-starting ability and flexibility.
You are used to working with stakeholders at C-level.
You also have excellent communication skills and a critical, analytical view.
You are pragmatic, solution-oriented, innovative, diplomatic and helpful and have experience with working within a project context.
You have a great sense of accountability; you only want the best for your internal customers.
You enjoy working in a team. You are focused on collaboration and solutions and you show persuasiveness.
You feel comfortable working in a team that considers continuous improvement of processes and services and customer and market orientation important. You are an active contributor to those improvements.
You have an excellent command of the Dutch and English language, both spoken and written.
