Supporting ING’s corporate boards from a business management perspective
As an associate secretary, you work in the Corporate Secretariat department at the very heart of ING. You play an important role in supporting the department head and the corporate secretaries to ING’s corporate boards. You work closely together with them on organising, coordinating and advising on ING’s board meetings with a specific focus on board meeting efficiency & effectiveness and simplifying, streamlining and professionalising the accompanying activities. This includes supporting the annual cycle of work in such a way that compliance with applicable procedures is safeguarded as well as that new requirements and improvements will be embedded in these – all in an agile and pro-active way, to continuously enhance the quality of the team’s processes and deliverables.
Your primary tasks/deliverables in view of the abovementioned broader responsibilities will be:
Coordinating and preparing board meeting related information and due diligence requests, including provisioning of information where applicable and communicating on this with stakeholders such as ING’s supervisors/regulators and internal and external auditors;
Board meeting agenda setting, alignment and support, including:
Preparing the overarching programme and accompanying agendas of multi-day board meeting gatherings and aligning on these with the relevant chairs and delivering parties, to ensure a timely, correct and seamless delivery of meeting documents. This includes regular meetings as well as special board meeting related events, such as educational sessions (e.g. short/long stay business visits for board members that should allow them to better understand and gain a more in-depth view of ING’s local business operations or of certain topical matters). As part of this you may also drafting board proposals including gatherins/analysing feedback on these;
Acting as super user representative with parties involved for digital board meeting related IT solutions, such as Sherpany and SaySo, contributing to enhanced meeting efficiency and effectiveness;
Ensure that the mandatory corporate boards’ programmes of lifelong learning will be implemented including the registration thereof;
Facilitate internal corporate board meeting related surveys and share the results thereof with the boards, to provide them with additional insights in board meeting efficiency and effectiveness
Taking minutes of selected corporate board meetings if and when deemed necessary, including the required preparations and follow-up.
Acting as span breaker within the team and liaison for internal and external stakeholders to ensure optimum coordination and alignment in your areas of responsibility. You provide the framework for and drive various department related processes, among others as to ensure that accompanying procedures and templates are being kept up-to-date. This should contribute to a thorough understanding, adoption and proper implementation of the board meeting related principles, guidelines and supporting tooling for parties involved and at the same time contribute to further enhancing the team’s footprint;
Acting as back-up for your team members and stepping in when needed in selected areas to safeguard business continuity.

Your working environment
As an associate secretary, you work with approx. ten direct colleagues within the Corporate Secretariat team in Amsterdam. Corporate Secretariat is part of Corporate Legal. You will report directly to the Head of Corporate Secretariat.
Corporate Secretariat supports ING's corporate boards (the Executive Board of ING Groep N.V., the Management Board Banking of ING Bank N.V. and the Supervisory Board of ING Groep N.V. and ING Bank N.V.) and its related committees. The team is responsible for facilitating and supporting ING's board effectiveness and ING's board related corporate governance processes. By proactively managing these two pillars, Corporate Secretariat drives the wide range and variety of the team's duties. As a trusted advisor to these boards, the main responsibility of Corporate Secretariat is to organise, coordinate, advise on and take minutes of every board meeting, including the Annual General Meeting (AGM) of ING Groep N.V. The team also acts as the gatekeeper and liaison between the boards, the rest of the ING organisation and other stakeholders, such as regulatory and supervisory bodies. In addition, Corporate Secretariat is also responsible for corporate transportation (executive drivers).

You are proactive and hands-on, flexible, curious, innovative, open to new developments and you are able to quickly familiarise yourself with new subject matters. You are also an expert in planning and organising, able to prioritise and you have an analytical mind and excellent communication skills. Moreover, you are service oriented, highly organisationally sensitive, you have excellent knowledge of and experience with the ING organisation and you are able to work in a demanding environment. With your can-do and hands-on mentality you are a real team player and are able to motivate and get results with and through others.
Have an academic degree in business administration and/or economics (or similar area);
Have at least six years relevant working experience, preferably in a banking and/or project management environment, where you have successfully achieved results through people;
Have excellent skills in working with MS Office (Word, Excel, PowerPoint) and can also familiarise yourself quickly with other IT applications, such as Sherpany and SaySo.
Have demonstrable experience in business management and/or project management.
Also, you are fluent in English, both spoken and in writing.
