    Key Role:
    As our Legal Counsel Corporate & ESG, you will assist in shaping the Company’s ESG and corporate governance efforts. As such you'll have a broad range of responsibilities counseling the company on issues of corporate law, corporate governance, ESG and M&A, with the opportunity to grow and evolve depending on your interests and the business's needs.

    We're looking for candidates with a growth mindset and professional drive, with the ability to quarterback important projects and have company-level impact while working on a variety of corporate legal matters.

    You'll have a meaningful role on a small-but-mighty corporate legal team and the opportunity to develop professionally in a collaborative and fast-paced environment.

    Responsibilities

    • Advise on all general corporate legal matters
    • Be responsible for ensuring compliance with obligations under corporate laws and rules and regulations, including preparation and filing of Forms, proxy statements, and other filings and reports
    • Coordinate and respond to any internal and external audit
    • Design and drive the company’s ESG program, attending to governance and reporting initiatives and audits
    • Assist with financing and strategic transactions, including mergers and acquisitions
    • Support cross-functional company projects related to global subsidiary maintenance, compliance, equity plan operations, tax and treasury
    • Stay current on corporate governance trends and best practices and developments, including research or benchmarking projects
    • Work collaboratively and responsively with a broad range of colleagues across functions, including Finance, Accounting, Investor Relations, Tax, HR, Communications, and Corporate Development to manage corporate transactions and initiatives
    • Oversight of the company’s contract management operations and signing procedures and the company’s corporate insurance portfolio
    • Support and optimize the board meeting and annual shareholder meeting process, including preparing D&O or investor questionnaires
    • Support the General Counsel with the coordination, preparation and distribution of agendas, resolutions, consents, minutes, and other materials for Board of Directors and committee meetings, as well as assisting with director training and onboarding
    • Monitor and attend to board and investor information rights
    • Assist with investor relations matters, including review of announcements, press releases, investor presentations and other investor communications
    • Stay current on corporate governance trends and best practices and developments, including research or benchmarking projects
    • Assist with subsidiary set up and the maintenance for all domestic and international subsidiaries
    • Develop and maintain relevant company policies and procedures (e.g. internal rules and limits of authority, board rules, procurement, conflict of interest), lead and assist with the legal team’s collective efforts in conducting periodic employee trainings on your areas of expertise
    • Develop and implement standardized templates and processes that will advance and scale our business
    • Pitch in on whatever commercial legal or compliance work needs doing, whenever it needs to be done
    • Effectively manage outside counsel, shareholders and external auditor as needed

    • You have a proven ability to understand the bigger picture, analyse and interpret details and information quickly (decisions need to be made within minutes)
    • A proven track record of creating added value and positive impact through your expertise
    • You have strong project management skills are flexible and have a pragmatic, risk based approach, as you're likely to have to juggle a number of projects with competing priorities at one time
    • Generalist with a helicopter view, but with specialist expertise (corporate governance)
    • You are results driven, hands on and a quick learner and thrive in a dynamic environment
    Requirements

    • You are experienced in the field of Corporate Governance and know how to translate this discipline in a scale up environment
    • In addition to assertiveness and teamwork skills, you have a positive, confident and open appearance and strong communication skills both verbally and in writing.
    • You have a structured way of working to reach targeted results, have an eye for detail and you are able to also take a helicopter view. inspire, motivate and support your colleagues to succeed
    • You are characterized by a pronounced organizational skill and discipline
    • Flexibility and high operational readiness are just as important as a good command of the Dutch and English language
    • At least 7 years of proven professional experience in the field of general corporate law
    • Master degree in Law; any additional certification is a pre
    • You are well aware of all relevant legal regulations and can navigate confidently in a demanding and dynamic business context

    • The Legal Counsel Corporate & ESG is a newly-created role that recognizes the importance of corporate law and ESG to the Company.
    • The position sits within the Legal and Risk team and reports to the General Counsel. The Legal Counsel Corporate & ESG will work directly with the General Counsel as well as other members of the legal, MT and executive management team and board.

    Working and hiring remotely

    When it is safe to do so, Catawiki will implement a hybrid work policy where employees in the Netherlands will work from the office 1-2 times per week and from home for the rest.

    Most of our Sales and Expert positions for local markets are 100% remote, which means that you will be working from home in the country you are based.
