In this role, you will have an exciting dual function by working in close collaboration with the General Counsel Benelux & Nordics on a variety of legal matters for the Benelux & Nordics cluster and by managing corporate-related legal support for the Netherlands in close collaboration with the General Counsel Corporate & Transactions.
Main Accountabilities to Senior Director, General Counsel Benelux & Nordics:
Supporting a variety of legal (commercial) matters for the Benelux & Nordics cluster, including the manufacturing site in Haarlem;
Negotiate and draft (commercial) contracts with third and internal parties in order to safeguard and promote Teva’s best interests;
Proactively identify potential legal risks and assist in implementing strategies to minimize those risks;
Ensure compliance with all applicable laws and regulations, as well as with Teva global and local policies;
Provide sound and pragmatic legal advice to internal customers; including legal awareness training to protect Teva’s best interests and allow Teva to meet its objectives; and
Contribute to building business partner role of the entire legal group, foster creativity and entrepreneurial mindset to create opportunities for the business.
Main Accountabilities to Senior Director, General Counsel, Corporate & Transactions
In close collaboration with Finance, Tax, Treasury and Compliance functions, advice on the structure and implementation of internal and external corporate financing and restructuring (mergers, liquidations, share transfers, capitalizations, contributions etc.), including drafting of the required documents;
Manage the execution of corporate housekeeping activities of the European Headquarters and its subsidiaries, which includes drafting resolutions and minutes, bylaws, the appointment of board members etc.; and
Assist in reviewing and training management and key personnel on relevant corporate policies.
Dutch law degree
Proven experience in private practice, top-tier law firm (preferably corporate or life science section)
Understanding of pharmaceutical market in NL and EU is preferred
Fluency in Dutch and English
Readiness for occasional business travel
Hands-on and flexible personality
Self-starter with a proactive attitude and strong drive to achieve results
Demonstrated ability to counsel effectively from a legal and business perspective
